Content Submission License and Release Agreement

This Content Submission License and Release Agreement (“Agreement”) is a legal contract between you (“Creator” or “you” or “your”) and Outline of a Murder Podcast (“Outline of a Murder,” “we,” or “us”). By clicking below on the checkbox and on the “Submit” button and submitting any art, drawings, graphics, pictures, photographs, text, songs, music, lyrics, audio and/or video content, software, or other material or content or combinations thereof (collectively, “Content”) through our official website located at [insert website URL] (the “Website”), Creator agrees to be bound by the terms and conditions of this Agreement as of the date on which Creator clicks on the “Submit” button. Creator must be, and represents that they are, at least 18 years old (or the age of majority in Creator’s state of residence) to submit Content to the Website.

In consideration of Creator submitting Content, and in consideration of Outline of a Murder allowing Creator to submit the Content, Outline of a Murder considering using the Content, Outline of a Murder considering giving attribution to Creator, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged by both parties, Creator and Outline of a Murder agree as follows:

1. License

Creator agrees to and hereby grants to Outline of a Murder a nonexclusive, royalty-free, worldwide, transferable, sublicensable, perpetual, and irrevocable right and license to reproduce, distribute, publicly display, edit, adapt, translate, summarize, abstract, perform, modify, and otherwise exploit the Content (or to refrain from doing so) (including specifically the right to create and exploit derivatives of the Content and incorporate the Content into other works) by any means, in any media or formats, now known or hereafter developed. This includes, without limitation, online, digital, print, audio, visual, and audio-visual uses, merchandising, any commercial uses (such as apps, books, and games), and advertising, marketing, and promotion for any of the above. Outline of a Murder may sublicense or authorize others to exercise these rights at its sole discretion (collectively, the “Licensed Rights”), without any further notice, consideration, or approval required from Creator.

Accordingly, Creator acknowledges and agrees that Outline of a Murder shall retain all benefits from any proceeds derived from the exploitation of the Content in accordance with the grant of rights above. Creator irrevocably and unconditionally waives all moral rights (and equivalent rights) in the Content to which Creator may otherwise be entitled under any applicable law, anywhere in the universe.

2. Right to Use

Creator further grants Outline of a Murder the right to use Creator’s name, image, and likeness (including, but not limited to, any avatars or aliases Creator uses) in connection with the Content and the Website. This includes use in connection with the distribution, advertising, marketing, or promotion of the Content and the Website.

Outline of a Murder has no obligation to publish, use, or retain any Content submitted by Creator or return any such Content to Creator. We may remove any Content from the Website at any time and for any reason, or for no reason at all.

3. No Right to Outline of a Murder Content

Creator acknowledges and agrees that nothing in this Agreement grants them any rights in or to any materials, content, designs, logos, trademarks, or other works owned, created, or licensed by Outline of a Murder (collectively, the “OOM Content”), even if such OOM Content appears in connection with Creator’s submitted Content.

4. Attribution

Unless Creator requests otherwise in writing, Outline of a Murder may, at its sole discretion, credit the Creator for the submitted Content in a manner we deem reasonable (e.g., through mention of your name, website, social media handle, or bio). We are under no obligation to keep Creator’s identity confidential and may disclose it as necessary.

5. Further Cooperation

Creator agrees to execute any additional documents and take all reasonable actions to ensure the effectuation of the rights granted to Outline of a Murder herein. Creator grants Outline of a Murder a limited power of attorney, coupled with an interest, to execute on Creator’s behalf any documents necessary to evidence the Licensed Rights without further consideration or notice to Creator.

6. Representations and Warranties; Indemnity

Creator represents and warrants that:
(a) the Creator is at least 18 years of age and has authority to enter into this Agreement;
(b) all materials incorporated into the Content are wholly original to the Creator, and the use or exploitation of the Content as contemplated herein does not and will not infringe upon any third party rights (e.g., copyrights, trademarks, privacy, or publicity rights);
(c) Creator has not granted any rights or licenses to others that conflict with the rights granted to Outline of a Murder under this Agreement.

Creator agrees to indemnify, defend, and hold harmless Outline of a Murder, its affiliates, successors, assigns, officers, and representatives against any claims, damages, or liabilities arising out of Creator’s breach of this Agreement.

7. Release and Covenant Not to Sue

Creator fully releases and agrees not to bring any legal action against Outline of a Murder, its affiliates, successors, or assigns in connection with any matter arising from this Agreement or the use of the Content. Creator waives the right to seek injunctive or other equitable relief to stop or interfere with the use of the Content granted under this Agreement.

8. No Obligation to Use

Outline of a Murder has no obligation to use or exploit the Content, or to continue its use once commenced.

9. General

This Agreement constitutes the entire understanding between the Creator and Outline of a Murder regarding the Content submitted. If any provision of this Agreement is deemed invalid or unenforceable, it shall not affect the remaining provisions. This Agreement is governed by the laws of the State of [insert state] and any disputes shall be resolved exclusively through arbitration, under the rules of [insert arbitration organization], held in [insert location].
